Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Human Work (HK) Limited (“Human Work,” “Minions,” “we,” “us,” or “our”) and govern your use of Minions, our website at minions.co, and related services (together, the “Services”). By using the Services, you agree to these Terms. These Terms include a binding arbitration agreement and a class-action waiver in Section 10 that affect your legal rights. Please read them carefully.

1. Who may use the Services

You must be at least 18 years old to use the Services. By using them, you represent that you are 18 or older and that you are able to form a binding contract with us and are not barred from doing so under applicable law.

2. Your account

You access the Services using your phone number and one-time login codes. You are responsible for maintaining the security of your account and for all activity that occurs under it. Provide accurate information, keep it current, and do not share your access with others. You may hold one account unless we agree otherwise, and you may not create an account if we have previously disabled yours. Notify us at support@minions.co if you suspect any unauthorized use.

3. The Services

3.1 What Minions does

Minions builds a personal report about you from the email, calendar, and other tools you choose to connect. You provide inputs and grant access to connected accounts; we analyze that information using AI and generate a report and related output (together, “Output”). Minions is an analysis and reporting tool. It reads the information you connect on a read-only basis to produce your report; it does not send messages, make purchases, or take other actions on your behalf.

3.2 Connected accounts and inputs

When you connect an account or tool (for example, Gmail or Google Calendar), you authorize us and our integration provider to access the information in that account as needed to generate your report. You represent that you have all rights necessary to connect those accounts and to provide the information you submit, and that doing so does not violate any law or the rights of any third party, including the terms of the connected service. You can disconnect an account and request deletion of the associated data at any time.

3.3 Output and your responsibilities

Output is generated by AI and may be incomplete, inaccurate, or otherwise wrong. Output is provided for informational purposes only and is not professional advice of any kind, including medical, legal, financial, investment, tax, or psychological advice, and is not a substitute for a qualified professional. You are responsible for evaluating Output and for any decisions you make based on it. We do not claim ownership of the information you connect or the Output about you; we retain all rights in the Services and the technology behind them.

4. Paid Services

Access to a report may require a one-time payment of US $50, or a valid invitation code. Fees are stated and payable in U.S. dollars and are processed by our payment processor. You authorize us and our processor to charge the payment method you provide, and you represent that you are authorized to use it. You are responsible for any applicable taxes. Except where required by law, all payments are non-refundable. We may change our prices at any time; changes do not affect a report you have already purchased.

5. Privacy and acceptable use

Our Privacy Policy explains how we handle your information and is incorporated into these Terms. You agree not to misuse the Services. In particular, you will not:

• use the Services in violation of any law or the rights of others;
• connect accounts or submit information you do not have the right to provide;
• copy, modify, distribute, sell, or create derivative works of the Services, except as expressly permitted;
• reverse engineer, decompile, or attempt to extract source code from the Services;
• use bots, scrapers, or other automated means to access the Services, or interfere with or disrupt them;
• attempt to gain unauthorized access to the Services, other accounts, or our systems;
• use the Services or Output to build, train, or improve a competing product or AI model, or to benchmark against the Services;
• remove any proprietary notices, or introduce malware or other harmful code.

6. Ownership

The Services, including all software, text, designs, and trademarks, are owned by Human Work (HK) Limited and its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. If you give us feedback or suggestions, we may use them without restriction or obligation to you. We may collect and use de-identified and aggregated usage data for any lawful business purpose.

7. Third-party services

The Services rely on and interoperate with third-party services, including Google, our integration provider (Composio), our payment processor (Stripe), and our messaging provider (Twilio). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and disclaim responsibility for them to the extent permitted by law.

8. Disclaimers

THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any Output will be accurate, complete, or reliable. You should not rely on the Services or any Output for advice of any kind, and no fiduciary or professional relationship is created by your use of the Services. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

9. Limitation of liability and indemnification

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMAN WORK (HK) LIMITED AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply even if a remedy fails of its essential purpose.

You agree to defend, indemnify, and hold harmless Human Work (HK) Limited and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms or any law, your violation of the rights of any third party, or the information you connect or submit.

10. Dispute resolution; arbitration; class-action waiver

Please read this section carefully. It affects your rights.

10.1 Informal resolution

Before starting a formal proceeding, you agree to first contact us at support@minions.co and give us 30 days to resolve the dispute informally and in good faith.

10.2 Binding arbitration

If we cannot resolve a dispute informally, you and Human Work (HK) Limited agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by JAMS under its applicable rules, rather than in court, except as provided below. The Federal Arbitration Act governs the interpretation and enforcement of this section.

10.3 Class-action waiver

You and Human Work (HK) Limited agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims. By agreeing to these Terms, you and we waive the right to a trial by jury and to participate in a class action.

10.4 Exceptions

Either party may bring an individual claim in small-claims court, seek injunctive relief, or bring a claim to protect intellectual-property rights, without first using arbitration.

10.5 Opt-out

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@minions.co with your name and a statement that you wish to opt out. Opting out of arbitration does not affect the class-action waiver.

11. Messaging

By providing your phone number, you agree that we may contact you by SMS or WhatsApp for account and service purposes, including one-time login codes and report-ready notifications, and, where permitted, occasional product updates. Message and data rates may apply. Reply STOP to opt out of non-essential messages and HELP for help; transactional messages such as login codes may continue.

12. Changes to the Services and these Terms

We may change, suspend, or discontinue any part of the Services at any time. We may also update these Terms; when we do, we will revise the “Last updated” date above, and for material changes we will provide additional notice where required. Your continued use of the Services after an update means you accept the revised Terms.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms or if we reasonably believe it is necessary to protect the Services or other users. Provisions that by their nature should survive termination — including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. To the extent a dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

15. Export and miscellaneous

You agree to comply with all applicable export-control and sanctions laws, and you represent that you are not located in an embargoed jurisdiction or on any government restricted-party list. These Terms are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
